Der Schutz ¿wirtschaftlich-virtueller¿ Gesellschafter rückte wegen verschiedener Urteile, die im Zusammenhang mit der Dotierung gemäß § 340g HGB (Fonds für allgemeine Bankrisiken) ergangen sind, in den Fokus der Verfasserin. Zentrales Problem der Gläubiger der Gesellschaften war die Vereitelung ihrer erfolgsbezogenen Vergütungs- und Rückzahlungsansprüche durch missbräuchliches Ausschöpfen der von Gesetzes wegen eingeräumten Handlungsspielräume. Zur Abstrahierung dieser Problematik wird nicht nur der Sammelbegriff der ¿wirtschaftlich-virtuellen¿ Gesellschafter für die betroffenen Gläubiger eingeführt, sondern gleichsam eine Untersuchung verschiedener Umgehungsmöglichkeiten bei unterschiedlichen Gesellschaftsformen angestellt. Die Arbeit untersucht daher mögliche risikobehaftete Maßnahmen an der Schnittstelle von Schuld- und Gesellschaftsrecht, den bisher bestehenden vertraglichen sowie materiellrechtlichen Schutz und bietet Lösungen auf prozessualer Ebene an.

Der ordre public-Vorbehalt im Schiedsverfahrensrecht ist eine abstrakte Materie, die erst durch eine Aufarbeitung der legislativen Vorbereitungen zu den entsprechenden Regelwerken auf internationaler und nationaler Ebene sowie durch die Analyse der Rechtsprechung an Konturen gewinnt. In diesem Werk werden die einzelnen Materien geschildert, in denen ordre public-Verstöße angenommen werden, aber auch die übergreifenden Zusammenhänge herausgearbeitet. Insofern verdient der Ansatz des Verfassers, ein abstraktes Anwendungsmuster zu finden, durchaus Zuspruch. Er ist für eine rechtsvergleichende Arbeit, die deutsches und russisches Recht vergleichend behandelt, ein wertvolles tertium comparationis.

How we understand what procedure is due as a fundamental or constitutional right can have a critical impact on designing a civil procedure. Recent legislative changes in England and Wales have eroded children's ability to exercise their article 12 UNCRC rights to information, consultation and representation when parents separate. However, children's voices may be heard through child-inclusive mediation (CIM). Considered from a children's rights perspective, this book provides a critical socio-legal account of CIM practice. It draws on in-depth interviews with relationship professionals, mediators, parents and children, to consider the experiences, risks and benefits of CIM. It investigates obstacles to greater uptake of CIM and its role in improving children's wellbeing and agency. Exploring the culture and practice changes necessary for a more routine application of CIM, the book demonstrates how reconceptualising CIM through a children's rights framework could help to address barriers and improve outcomes for children.

Trotz ihrer häufig kritisierten Komplexität bestehen die Normen über die vollstreckungsspezifischen Rechtsbehelfe seit dem Inkrafttreten der Zivilprozessordnung nahezu inhaltsgleich. Diese Dissertation zeigt die mit dem bestehenden Rechtsbehelfssystem in der Zwangsvollstreckung einhergehenden Probleme auf und beantwortet die Frage, inwieweit es zur Lösung aktueller Fragestellungen geeignet ist. Vorgestellt werden konkrete Vorschläge zur Reform der geltenden Vorschriften sowie zur Einführung bislang ungeschriebener Rechtsbehelfe.
This book offers a unique insight into the world of standard-setting organizations (SSOs)' IPR policies and the role they play in balancing the interests of innovators and implementers, vis-à-vis the development of standards. Since the beginning of the 21st century, there have been quite a few questions asked of the SSOs as to the legality of their IPR policies and the enforceability of disclosure and licensing obligations enshrined therein. That, coupled with disagreements over the appropriate royalty rate and royalty base, has resulted in extensive litigation between innovators and implementers, especially across the Atlantic. The Book, in keeping the USA and EU as the two primary jurisdictions, offers a comprehensive analysis of the disclosure and licensing obligations under SSO IPR policies, with strong theoretical foundations justifying their imposition. More specifically, it offers a bird's eye view of the various facets of disclosure and licensing, ranging from non-disclosure and transparency on one hand, to the determination of FRAND on the other. While much has been said about the benefits arising out of collaborative standard-setting, disputes involving SEP licensing have not been limited to the courts, and have attracted a significant amount of scrutiny by competition/antitrust agencies. The Book provides an elaborate account of the anti-competitive concerns surrounding standard-setting, and further documents the role of courts and competition agencies in ensuring good faith licensing negotiations between the SEP holders and implementers. Das Verhältnis des bundesrechtlich geregelten Kartellrechts zu Teilbereichen der Rechtsordnung, die in die Zuständigkeit der Länder fallen, ist eine seit Jahrzehnten nur unvollständig aufbereitete Fragestellung. Die vorliegende Arbeit hat sich zum Ziel gesetzt, die insoweit bestehende, mitunter diffuse, Gemengelage zu entwirren. Dabei werden anhand verschiedener Beispiele aus dem Bereich des Rundfunkrechts, des Glücksspielrechts sowie der kommunalen Daseinsvorsorge kompetenzrechtliche Erosionen offengelegt und sodann auf ihre Vereinbarkeit auf den grundgesetzlichen Kompetenzrahmen analysiert. Dabei wird auch eine unionsrechtliche Überlagerung des Kartellrechts untersucht. Anschließend wird geprüft, ob die hierbei offen zu Tage tretende Erosion der bundesstaatlichen Kompetenzordnung vor dem Hintergrund anderer Rechtsgrundsätze, etwa dem Grundsatz der Bundestreue, oder sogar einer grundsätzlich vorzugswürdigeren Passform des Kartellrechts zur Regelung der fraglichen Bereiche gerechtfertigt erscheint. Die sich aus der Untersuchung ergebenden Ergebnisse sind anschließend zusammengefasst.

Sie überprüft, ob die berühmte Formel von Martin Wolff und der h. M. ¿verloren sind alle besitzlos, aber nicht herrenlos gewordenen Sachen" in Grenzfällen passt. Dabei ist sie darum bemüht, die verschiedenen möglichen Fallkonstellationen kontrastierend gegenüberzustellen. Darüber hinaus klärt die Autorin die Fundvoraussetzungen auf Seiten des Finders und behandelt das Problem, ob ein Besitzmittlungsverhältnis zum Empfangsberechtigten anzunehmen ist. The Parthenon marbles case is the most famous international cultural heritage dispute concerning repatriation of looted antiquities, the Parthenon marbles in the British Museum¿s ¿Elgin Collection¿. The case has polarised observers ever since Elgin had the marbles hacked out of the ancient temple at the turn of the 19th century in Ottoman-occupied Athens. In 1816, a debt-stricken Elgin sold the marbles to the British government, which subsequently entrusted them to the British Museum, where they have remained since then.Much ink has been spilled on the Parthenon marbles. The ethical and cultural merits of their repatriation have been fiercely debated for years. But what has generally not been considered are the legal merits of their return in light of contemporary international law.
